Terms of Service

1. Agreement to Terms

By accessing or using GEOde AI Visibility ("GEOde," "Service"), a product of Violet Rome LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users of geodeapp.ai and the GEOde Shopify application.

2. Description of Service

GEOde is a software-as-a-service tool that helps Shopify merchants analyze and improve their store's visibility with AI-powered search engines and large language models. Features include AI visibility audits, content optimization suggestions, structured data enhancements, and continuous monitoring. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Eligibility and Accounts

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at support@geodeapp.ai

You may not share your account or create accounts for the purpose of circumventing usage limits or billing.

4. Shopify Integration

GEOde integrates with your Shopify store to read and, with your explicit approval, modify product content such as descriptions, metadata, and image alt text. You grant us permission to access and write to your store data as described in the app's permission request. You remain solely responsible for all content in your store. We will never modify store content without presenting you a clear review step or receiving your direct instruction.

5. AI-Generated Content

GEOde uses artificial intelligence to generate audit reports, optimization suggestions, and content rewrites. You acknowledge that:

• AI-generated content may be inaccurate, incomplete, or not suitable for your specific products
• You are responsible for reviewing all AI-generated content before applying it to your store
• GEOde makes no guarantee that using our suggestions will improve your rankings, revenue, or AI visibility scores
• AI model outputs are non-deterministic and results may vary

6. Billing and Payments

Subscriptions to GEOde are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge the applicable subscription fee to your store's billing method. Fees are non-refundable except as required by applicable law or at our sole discretion. We reserve the right to change pricing with 30 days' notice. You may cancel your subscription at any time by uninstalling the app from your Shopify store; you will retain access through the end of your current billing period.

7. Acceptable Use

You agree not to:

• Use GEOde for any unlawful purpose or in violation of Shopify's terms of service
• Attempt to reverse engineer, decompile, or scrape the Service
• Use the Service to generate or distribute spam, misleading content, or content that infringes third-party rights
• Circumvent any rate limits, access controls, or security features
• Resell or sublicense access to the Service without written permission

We reserve the right to suspend or terminate accounts that violate these guidelines without notice or refund.

8. Intellectual Property

GEOde, its logos, code, interface, and documentation are the intellectual property of Violet Rome LLC and are protected by applicable copyright, trademark, and other laws. You retain ownership of your store data and any content you create. You grant us a limited license to process your content solely for the purpose of providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIOLET ROME LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Violet Rome LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your store content, or your violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. You may terminate by uninstalling the GEOde app and deleting your account. We may terminate or suspend your access immediately for breach of these Terms, fraudulent activity, or for any other reason at our discretion. Upon termination, your right to use the Service ceases and we will handle your data as described in our Privacy Policy.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the app. Continued use of the Service after the effective date of changes constitutes acceptance.
